Terms of Service
These terms govern access to and use of ScopeSpace products supplied by Contlant Limited.

1. Agreement and eligibility
By creating an account, accepting an order, or using ScopeSpace, you agree to these terms on behalf of yourself and any organization you are authorized to represent. You must be legally capable of entering this agreement and provide accurate registration information.
2. The service
ScopeSpace provides ScopePayroll, ScopeBooks, ScopeTax, ScopeStock, ScopeAppointments, billing, workspace and calendar-integration tools. Features may depend on the subscribed plan, configured providers, jurisdiction, and information supplied by the customer. We may improve or replace features while preserving the material purpose of a paid service.
3. Customer responsibilities
You are responsible for authorized use of your account, protecting credentials, assigning appropriate roles, reviewing calculations and filings, obtaining required notices or consents from workers and contacts, maintaining accurate source data, and complying with employment, tax, privacy, and recordkeeping obligations.
4. Payroll and tax information
ScopeSpace products are calculation and workflow tools, not legal, tax, accounting, or employment advice. Statutory rules and individual circumstances can change. You remain responsible for reviewing outputs and submitting accurate, timely payments, returns, notices, and records to the relevant authorities.
5. Calendar integrations
If you connect Google Calendar, Microsoft Outlook, or iCloud, you authorize ScopeSpace to use the permissions displayed by that provider to list calendars, read availability and events, detect conflicts, and create or update events through the service. You may disconnect an integration at any time. Provider services and their availability remain governed by the provider's own terms.
6. Fees and payment
Fees, billing intervals, included usage, taxes, and renewal terms are stated in the applicable order or checkout. Unless the order says otherwise, subscriptions renew for the stated period until cancelled. You authorize the selected payment provider to process due charges. Past-due access may be limited after any stated grace period, subject to applicable law.
7. Acceptable use
You must not use ScopeSpace unlawfully; access another tenant without permission; upload malicious code; probe or bypass security; interfere with service operation; misuse third-party data; resell the service without written authorization; or use automated means in a way that creates unreasonable load or violates provider terms.
8. Data protection and confidentiality
Each party will protect confidential information using reasonable safeguards and use it only to perform this agreement. Our handling of personal information is described in the ScopeSpace Privacy Policy. Customers are responsible for establishing a lawful basis and providing required notices for personal information they place in the service.
9. Intellectual property
Contlant Limited and its licensors retain rights in ScopeSpace and its products, software, documentation, branding, and improvements. You retain rights in information you submit and grant us the limited rights needed to host, process, secure, and transmit it to provide the service.
10. Availability and third-party services
We work to keep ScopeSpace secure and available but do not promise uninterrupted operation. Maintenance, internet conditions, provider outages, legal requirements, and events beyond reasonable control can affect availability. Third-party calendar, payment, email, and hosting services are outside our direct control.
11. Suspension and termination
You may stop using the service or cancel as allowed by the applicable order. We may suspend access to address security risk, unlawful use, material breach, non-payment, or harm to the service or others. On termination, applicable payment obligations survive and data will be handled under the Privacy Policy and legal-retention requirements.
12. Disclaimers and liability
To the extent permitted by law, the service is provided without implied warranties beyond those that cannot lawfully be excluded. Neither party is liable for indirect, incidental, special, punitive, or consequential loss, or loss of profit, revenue, goodwill, or data, except where liability cannot lawfully be limited. Any aggregate liability limitation stated in an accepted order also applies.
13. Governing law and disputes
These terms are governed by the laws of Kenya. The parties will first try in good faith to resolve a dispute through written notice and discussion before using the courts or another agreed dispute process, without limiting either party's right to seek urgent protective relief.
14. Changes and contact
We may update these terms for legal, security, or service reasons. Material changes will be communicated through an appropriate channel and will apply from the stated effective date. Questions may be sent to hello@contlant.com.
